These Terms of Service ("Terms") govern your access to and use of the website, web application, APIs, and related services operated by ArtyShield (collectively, the "Services"). MusicShield is a tool developed and offered by ArtyShield as part of the Services. By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
Definitions
"User Content" means audio files and any associated metadata you upload to the Services.
"Protected Output" means the file generated by the Services after processing User Content through MusicShield.
"Documentation" means any user guides, specifications, or materials provided by ArtyShield.
Beta Program Notice
MusicShield is currently offered as a Beta program. Features may change, be suspended, or be discontinued at any time without notice. Performance, functionality, and availability may be limited, and you acknowledge that the Services may not operate without errors. By participating in the Beta, you agree that you are using the Services at your own risk.
License and Permitted Use
Limited License
Subject to these Terms, ArtyShield grants you a non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for the purpose of:
- Uploading User Content that you own or are lawfully authorized to process.
- Generating Protected Output.
- Downloading and storing Protected Output for your own lawful use.
Reservation of Rights
Except for the limited license above, ArtyShield retains all rights, title, and interest in and to the Services and Documentation.
No Training Rights
ArtyShield does not acquire ownership of User Content. You grant ArtyShield a limited, revocable, temporary license to host, copy, and process User Content solely to provide the Services and generate Protected Output. ArtyShield does not use User Content to train, fine-tune, or evaluate machine learning models.
Deletion of Uploads
User Content is processed solely to generate Protected Output and is automatically deleted from ArtyShield servers within a few hours after processing. No persistent copy of User Content is retained.
User Responsibilities
You agree to:
- Upload only content you own or are legally authorized to use.
- Not misuse the Services (including attempting unauthorized access, interfering with normal operation, or using the Services for unlawful purposes).
- Comply with all applicable laws and regulations in connection with your use of the Services.
Disclaimers
The Services (including MusicShield Beta) are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. ArtyShield disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, ArtyShield will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or relating to your use of the Services, even if advised of the possibility of such damages. ArtyShield's total liability for any claim related to the Services will not exceed one hundred U.S. dollars (USD $100).
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or are otherwise engaged in harmful activities. Upon termination, your license to use the Services will immediately cease.
Changes to These Terms
We may update these Terms from time to time. If material changes are made, we will update the "Effective Date" above and post the revised Terms on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by and construed under the laws of the State of Georgia, United States, without regard to conflict of law principles.
